These Terms of Service govern your use of the InteliWareGrowth website and the services we provide. Please read them carefully before engaging our services.
1. Acceptance of Terms
By accessing and using the InteliWareGrowth website or engaging our services, you agree to be bound by these Terms of Service. If you do not agree, please do not use our website or services.
2. Services Provided
InteliWareGrowth provides performance marketing services including but not limited to: Google Ads management, PPC campaign management, social media advertising, website development, and marketing consultancy. The specific scope, deliverables, and timelines for services will be agreed upon in a separate service agreement or statement of work.
3. Client Responsibilities
You agree to: • Provide accurate and complete information required for us to deliver services • Grant necessary access to advertising accounts, analytics platforms, and relevant tools • Review and approve campaign materials within agreed timelines • Pay all invoices on time as per the agreed payment schedule • Comply with all applicable laws and platform advertising policies
4. Intellectual Property
All creative materials, strategies, and content developed by InteliWareGrowth remain our intellectual property until full payment is received. Upon receipt of full payment, ownership of agreed deliverables transfers to the client. Our methodologies, frameworks, and proprietary processes remain the exclusive property of InteliWareGrowth at all times.
5. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the engagement. This obligation survives the termination of the agreement.
6. Performance & Results
While we apply best practices and data-driven strategies to achieve the best possible results, InteliWareGrowth does not guarantee specific performance outcomes (e.g. ROAS, CPA, lead volumes) as these are influenced by factors outside our control including market conditions, competition, budget, and client-side factors.
7. Payment Terms
Invoices are due within 14 days of issue unless otherwise agreed in writing. Late payments may incur interest at 8% per annum above the Bank of England base rate in accordance with the Late Payment of Commercial Debts Act 1998. We reserve the right to pause or terminate services for accounts with overdue payments.
8. Limitation of Liability
To the maximum extent permitted by law, InteliWareGrowth shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services. Our total liability shall not exceed the total fees paid by the client in the three months preceding the claim.
9. Termination
Either party may terminate services by providing written notice as per the notice period agreed in the service agreement (typically 30 days). InteliWareGrowth may terminate immediately in the event of breach of these Terms or non-payment.
10. Governing Law
These Terms of Service are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
11. Changes to These Terms
We reserve the right to update these Terms at any time. Changes will be posted on this page. Continued use of our services constitutes acceptance of the updated terms.
